Starmint LLC General Terms and Conditions

1. Definitions

a. „Starmint LLC“ refers to the web agency, with its registered office at [Your Address].

b. „Client“ refers to the company or individual engaging the services of Starmint LLC.

c. „Project“ refers to any website design, SEO, or marketing services provided by Starmint LLC to the Client.

2. Scope of Services

Starmint LLC, represented by Nikita Morgunenko, offers web design, SEO, and marketing services to Clients. The scope of each Project will be defined in a separate Project Agreement, and these General Terms and Conditions shall apply unless explicitly modified in the Project Agreement.

3. Project Initiation

a. Starmint LLC and the Client will discuss and agree upon the specifics of each Project, including objectives, deliverables, timeline, and costs.

b. A formal Project Agreement will be issued to the Client, detailing the scope and terms of the Project.

4. Payment Terms

a. The Client shall make an upfront payment of 50% of the total project cost to Starmint LLC before project commencement.

b. The remaining 50% shall be paid upon project completion or as specified in the Project Agreement.

c. Invoices will be sent to the Client as specified in the Project Agreement.

5. Intellectual Property

a. All intellectual property developed as part of the Project will be owned by the Client upon receipt of full payment.

b. Starmint LLC retains the right to showcase the Project in its portfolio and marketing materials.

6. Confidentiality

Both Starmint LLC and the Client agree to maintain the confidentiality of all information shared during the Project.

7. Termination

a. Either party may terminate the Project in writing if the other party breaches a material term of the Project Agreement.

b. Termination by the Client may result in the forfeiture of any payments made.

8. Liability

a. Starmint LLC is not responsible for any loss of data, revenue, or profits incurred by the Client during or after the Project.

b. Starmint LLC’s liability shall be limited to the total amount paid by the Client for the specific Project.

9. Force Majeure

Neither party shall be liable for any delay or failure to perform its obligations due to circumstances beyond its control, such as acts of nature, war, or governmental action.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Dubai, UAE. Any disputes shall be subject to the exclusive jurisdiction of the Dubai courts.

11. Entire Agreement

This Agreement, including the Project Agreement, constitutes the entire understanding between Starmint LLC, represented by Nikita Morgunenko, and the Client and supersedes all previous agreements.

12. Amendments

Any modifications or amendments to this Agreement must be made in writing and signed by both parties.

13. Severability

If any provision of this Agreement is found to be unenforceable, the remainder of the Agreement shall remain in full force and effect.

By engaging Starmint LLC’s services, the Client, agrees to abide by these General Terms and Conditions. The signed Project Agreement will govern the specifics of each Project.
