Commission Only Agreement

This Commission Only Agreement is a legally binding contract between you (the „Salesman“) and Starmint FZC LLC, applicable globally. By filling out and submitting this form, you are expressing your consent and agreement to work as an independent sales representative for Starmint FZC LLC. Please read the terms carefully before submitting the form.

Compensation: You will be compensated with a commission of 12% for each service sold.
Bonus Provision: In addition to the commission, a bonus of $1000 USD will be awarded on every 10th sale.
Independent Contractor: You acknowledge that you are an independent contractor, not an employee of Starmint FZC LLC.
Obligations of Representative:
Act diligently and ethically in promoting and selling the Company’s services.
Provide regular updates on sales activities and client interactions.
Obligations of Company:
Provide necessary support and resources for effective sales.
Timely payment of agreed-upon commissions and bonuses.
Confidentiality: You agree to maintain the confidentiality of proprietary information and trade secrets.

Key Terms:

You understand and agree that Starmint FZC LLC, being a global entity, will not:
1. Withhold any social security, Medicare taxes, or equivalent contributions from your payments or make such payments on your behalf.
2. Withhold any income tax, whether it be at the national or regional level, from your payments.
3. Withhold any other payroll taxes or make such contributions on your behalf.

As an independent contractor, you are responsible for complying with all tax regulations in your jurisdiction and for the payment of any taxes, including income taxes and social security contributions, as required by the laws applicable in your country.

Fringe Benefits:

You acknowledge that neither you nor your employees or contract personnel are eligible to participate in any employee pension, health, vacation pay, sick pay, or other fringe benefit plan of Starmint FZC LLC.

Workers‘ Compensation:

Starmint FZC LLC will not obtain workers‘ compensation insurance on your behalf or on behalf of your employees or agents. You agree to provide your employees with workers‘ compensation insurance to the extent required by local laws and provide Starmint FZC LLC with a certificate of workers‘ compensation insurance. You also agree to hold harmless and indemnify Starmint FZC LLC for any and all claims arising out of any injury, disability, or death of you or any of your employees or agents.

Unemployment Compensation:

Starmint FZC LLC will not make any state or federal unemployment compensation payments on your behalf or on behalf of your employees or contract personnel. You and your employees will not be entitled to these benefits in connection with work performed under this Agreement.

Warranties and Representations:

You, as the Salesman, warrant and represent that:
1. You have the authority to enter into this Agreement and to perform all obligations hereunder.
2. You shall abide by all federal, state, and local laws and regulations in completing obligations under this agreement.

Indemnification:

You agree to indemnify and hold harmless Starmint FZC LLC against any third-party claims, actions, or demands, including without limitation reasonable attorney and accounting fees, alleging or resulting from the breach of the warranties contained in this Agreement. Starmint FZC LLC will provide notice to you promptly of any such claim, suit, or proceeding and will assist you, at your expense, in defending any such claim, suit, or proceeding.
Termination: The agreement is subject to termination with 30 days‘ notice or immediately for cause.
Severability (Separability) Clause: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
Amendments: Starmint FZC LLC reserves the right to amend this agreement globally. Any amendments will be communicated to you, and your continued engagement will be considered acceptance of the amended terms.
Duration: This agreement will be effective from the date of submission and will continue until terminated by either party with the provided notice.
